Terms of Service
Version 1.0 — Effective April 14, 2026
1. Acceptance of Terms
By engaging any service offered by EasyGeniusAI, the Client declares having read, understood, and fully accepted these Terms of Service. These Terms, together with the signed Service Agreement and Data Responsibility Matrix, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements, whether written or verbal.

2. Definitions
2.1. EasyGeniusAI
Refers to the business operating under the registered trade name EasyGeniusAI, a Sole Proprietorship registered in the Province of British Columbia, Canada, with domicile in Fort St. John, BC.
2.2. Client
Any individual or business entity that contracts, uses, or accesses any service offered by EasyGeniusAI.
2.3. Services
Business process automation services, AI assistant implementation, workflow configuration, and related services offered by EasyGeniusAI as described in the applicable Service Agreement.
2.4. Third-Party Platforms
Software platforms used to deliver our services. EasyGeniusAI does not own these platforms and operates under their respective terms of use. Specific platform names are not disclosed as they constitute proprietary methodology.
2.5. Client Data
All information, databases, contacts, records, and data owned by the Client that are stored in the Client's own accounts on third-party platforms.
2.6. EasyGeniusAI Intellectual Property
The unique combination, sequence, configuration, and documentation of automation workflows, process logic, AI assistant configurations, communication templates, implementation methodology, and any technical development created by EasyGeniusAI in the course of service delivery, which constitutes original creative and technical work.
3. Services
3.1. Nature of Services
EasyGeniusAI provides consulting and implementation services for business process automation. Services include the configuration of third-party tools, design of automated workflows, and implementation of AI-powered conversational assistants.
3.2. Use of Artificial Intelligence
Some services incorporate third-party AI technologies. The Client acknowledges that: (a) AI systems may produce variable results; (b) EasyGeniusAI does not guarantee absolute accuracy of AI-generated responses; (c) human supervision of automatically generated responses is the Client's responsibility at all times; (d) AI outputs do not constitute legal, medical, financial, or professional advice of any kind.
3.3. Third-Party Platforms
EasyGeniusAI is not responsible for interruptions, price changes, feature modifications, or discontinuation of third-party platforms. Any additional costs arising from changes in third-party plans are the Client's responsibility.
3.4. Service Limitations
EasyGeniusAI does not guarantee: (a) specific commercial results such as sales increases or client acquisition; (b) 100% uninterrupted availability of configured systems; (c) compatibility with all existing Client systems without additional adaptations; (d) perfect AI responses at all times.
4. Acceptable Use
4.1. Permitted Uses
The Client may use EasyGeniusAI services to automate legitimate business processes, capture and manage prospects and clients, send marketing communications with prior recipient consent, improve operational efficiency, and implement customer service assistants on their website.
4.2. Prohibited Uses
The Client may NOT use the services to: send unsolicited communications or violate Canada's Anti-Spam Legislation (CASL); collect or process personal data without adequate consent; conduct fraudulent, deceptive, or illegal activities; violate third-party intellectual property rights; access or attempt to access systems without authorization; or engage in any activity that violates federal, provincial, or municipal laws of Canada.
4.3. Client Responsibility for Content
The Client is responsible for reviewing and approving all automated content — including email sequences, AI assistant responses, and notifications — prior to system activation. Post-activation, the Client assumes full responsibility for all content delivered through systems configured by EasyGeniusAI, including the use that their prospects and clients make of those systems.
5. Privacy and Data Protection
5.1. PIPEDA and BC PIPA Compliance
Both parties commit to complying with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and British Columbia's Personal Information Protection Act (PIPA).
5.2. Client Data Ownership
The Client is the sole owner and controller of all personal data belonging to their contacts, prospects, and clients. EasyGeniusAI acts exclusively as a technical configurator and claims no rights over that information.
5.3. Technical Access
EasyGeniusAI maintains collaborator-level access to Client accounts for the sole purpose of providing contracted support services. This access is limited in scope, documented, and automatically revoked upon contract termination. The Client may revoke this access at any time.
5.4. Non-Disclosure of Data
EasyGeniusAI will not sell, transfer, or disclose to third parties any Client information or Client contact information, except when required by law or court order.
5.5. Security
EasyGeniusAI will implement reasonable security measures to protect access to Client systems during service delivery. However, the Client is solely responsible for the security of their own accounts, passwords, and access credentials.
6. Intellectual Property
6.1. EasyGeniusAI IP
All automation workflows, technical configurations, process logic, communication templates, methodologies, and developments created by EasyGeniusAI are and remain the exclusive property of EasyGeniusAI. The Client obtains a non-exclusive, non-transferable license to use them for the duration of the contract. Upon termination, this license automatically expires.
6.2. Client IP
Content, business information, contact data, marketing materials, and any other intellectual assets contributed by the Client remain the Client's property at all times.
6.3. Prohibition on Copying and Replication
The Client may not copy, reproduce, document, or replicate EasyGeniusAI's automation workflows, AI assistant configurations, communication templates, or any other technical element developed by EasyGeniusAI, in whole or in part.
6.4. Prohibition on Commercialization
The Client may not resell, sublicense, transfer, or assign to third parties any element of EasyGeniusAI's intellectual property, during or after the term of the contract.
6.5. Prohibition on Reverse Engineering
The Client may not reverse engineer, decompile, or analyze the internal functioning of any system, workflow, or automation configured by EasyGeniusAI for the purpose of replicating it or developing similar solutions.
6.6. Prohibition on AI Training Use
The Client may not use the logic, structure, or content of EasyGeniusAI's systems to train, fine-tune, or feed AI models, whether their own or third-party.
6.7. Duration of Prohibitions
All prohibitions in Sections 6.3 to 6.6 remain in effect for 3 years following the termination of the contract, regardless of the reason for termination.
6.8. Damages for Breach
In the event of a proven violation of any prohibition in Sections 6.3 to 6.6, EasyGeniusAI reserves the right to seek compensation for damages incurred. The parties agree that CAD $10,000 represents a reasonable pre-estimate of damages in such circumstances, without limiting EasyGeniusAI's right to seek higher damages if actual losses exceed this amount.
7. Limitation of Liability
7.1. Liability Cap
EasyGeniusAI's total liability to the Client, for any cause and under any legal theory, shall not exceed the total amount paid by the Client to EasyGeniusAI during the three months preceding the event giving rise to the claim.
7.2. Exclusion of Indirect Damages
EasyGeniusAI shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, loss of clients, reputational damage, or loss of business opportunities, even if EasyGeniusAI has been advised of the possibility of such damages.
7.3. Force Majeure
EasyGeniusAI shall not be liable for delays or failures arising from causes beyond its reasonable control, including interruptions in third-party services, internet failures, natural disasters, pandemics, government acts, or any other force majeure event.
7.4. Third-Party Platforms
EasyGeniusAI assumes no liability for interruptions, failures, terms changes, price changes, data loss, or any other event related to third-party platforms used in service delivery.
8. Modifications and Term
8.1. Term
These Terms of Service take effect on the date indicated in the header and remain in force until updated or replaced by a later version.
8.2. Modifications
EasyGeniusAI reserves the right to modify these Terms at any time. Material changes will be communicated to active clients by email at least 15 days before taking effect, sent to the email address on file at the time of the change. It is the Client's responsibility to maintain an accurate contact email with EasyGeniusAI. Continued use of the services after that period constitutes acceptance of the modified terms.
8.3. Dispute Resolution
The parties agree to first attempt resolution of any dispute through good-faith negotiation for a period of 30 days before initiating any legal proceedings.
8.4. Governing Law
These Terms are governed by the laws of the Province of British Columbia, Canada. Any dispute not resolved through negotiation shall be submitted to the exclusive jurisdiction of the courts of British Columbia.
8.5. Language
In the event of discrepancy between versions of these Terms in different languages, the English version shall prevail for legal purposes.
9. General Provisions
9.1. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.
9.2. Entire Agreement
These Terms, together with the signed Service Agreement and Data Responsibility Matrix, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior negotiations, representations, warranties, or agreements, whether written or verbal.
9.3. Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce such provision in the future.
