Terms of Service

1. Acceptance of Terms

By engaging any service offered by EasyGeniusAI, the Client declares having read, understood, and fully accepted these Terms of Service. These Terms, together with the signed Service Agreement and Data Responsibility Matrix, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements, whether written or verbal.

These Terms replace all previous versions, including the Service Terms document dated July 21, 2026.

2. Definitions

2.1. EasyGeniusAI
Refers to the business operating under the registered trade name EasyGeniusAI, a Sole Proprietorship registered in the Province of British Columbia, Canada, with domicile in Fort St. John, BC.

2.2. Client
Any individual or business entity that contracts, uses, or accesses any service offered by EasyGeniusAI.

2.3. Services
Website design, hosting and maintenance, business process automation, AI assistant implementation, workflow configuration, and related services offered by EasyGeniusAI as described in the applicable Service Agreement.

2.4. Website Plan
A monthly subscription that bundles the design and build of a website with its hosting, maintenance, and the additional features of the selected tier, delivered as a single managed service.

2.5. Missed Call Text-Back
A standalone monthly subscription that automatically sends a text message to a caller when a call to the Client's business phone number goes unanswered.

2.6. Third-Party Platforms
Software platforms used to deliver our services. EasyGeniusAI does not own these platforms and operates under their respective terms of use. Specific platform names are not disclosed as they constitute proprietary methodology.

2.7. Client Data
All information, databases, contacts, records, leads, and content owned or supplied by the Client, including data stored in the Client's own accounts on third-party platforms.

2.8. EasyGeniusAI Intellectual Property
The unique combination, sequence, configuration, and documentation of automation workflows, process logic, AI assistant configurations, communication templates, implementation methodology, page frameworks, reusable components, and any technical development created by EasyGeniusAI in the course of service delivery, which constitutes original creative and technical work.

3. Nature of the Services

3.1. Scope
EasyGeniusAI provides design, implementation, hosting, and consulting services for business websites and business process automation. Services include the configuration of third-party tools, design of automated workflows, and implementation of AI-powered conversational assistants.

3.2. Use of Artificial Intelligence
Some services incorporate third-party AI technologies. The Client acknowledges that: (a) AI systems may produce variable results; (b) EasyGeniusAI does not guarantee absolute accuracy of AI-generated responses; (c) human supervision of automatically generated responses is the Client's responsibility at all times; (d) AI outputs do not constitute legal, medical, financial, or professional advice of any kind.

3.3. Third-Party Platforms
EasyGeniusAI is not responsible for interruptions, price changes, feature modifications, or discontinuation of third-party platforms. Any additional costs arising from changes in third-party plans are the Client's responsibility.

3.4. Service Limitations
EasyGeniusAI does not guarantee: (a) specific commercial results such as sales increases, traffic, search ranking, or client acquisition; (b) 100% uninterrupted availability of configured systems; (c) compatibility with all existing Client systems without additional adaptations; (d) perfect AI responses at all times. Delivery of text messages depends on mobile carriers and on factors outside our control.

4. Website Plans

4.1. Plans and Inclusions
Website Plans are offered in three tiers, billed monthly in Canadian dollars: Cub at $149, Black Bear at $299, and Grizzly at $449. Each tier includes a professional website, managed hosting, SSL, backups, and the additional features published for that tier at easygeniusai.com at the time of sign-up. The published plan page forms part of these Terms.

4.2. Included Work and Revisions
Each plan includes up to one (1) hour of minor content edits per month and two (2) rounds of revisions during the initial build. Unused edit time does not accumulate. Work beyond this scope, including new pages, redesigns, and custom development, is quoted and agreed separately before it begins.

4.3. Delivery Timeline
We aim to deliver the website within approximately five (5) business days, counted from the later of: (a) the first monthly payment, and (b) our receipt of all content, images, logos, and business information required from the Client. If required materials or access are missing or incomplete, the timeline pauses until we receive them. This is a target, not a guaranteed date.

4.4. Client Materials and the Seven-Day Window
After a spot is confirmed, the Client receives a short questionnaire and a list of required materials, and has seven (7) days to provide them. If the materials are not provided within that window, EasyGeniusAI may release the Client's place in the founding cohort to the next business in line. The Client may reserve a later spot if one is available.

4.5. Hosting Is Part of the Service
The website is built, deployed, and hosted on managed hosting provided by EasyGeniusAI. The build, the hosting, the support, and the included features form a single managed service and are priced as one. EasyGeniusAI does not deploy, host, migrate to, or provide ongoing support for the website on third-party or self-managed hosting. If the Client chooses to move the website to hosting the Client controls, installing, configuring, and supporting it there is the Client's responsibility or a separate service quoted case by case. When the website is no longer hosted by EasyGeniusAI, the plan and its included hosting, features, and support end.

4.6. Domain
A new or clean domain is registered and paid for by EasyGeniusAI as part of the plan and connected at no additional cost. After twelve (12) months of continuous, paid service, that domain transfers to the Client and is the Client's for good. If service ends before twelve (12) months, the domain remains registered to EasyGeniusAI. A domain the Client already owns is connected at no cost and remains the Client's property at all times.

4.7. Migration of an Existing Site
Moving an existing website's domain and business email from another provider is a separate one-time service, quoted at CAD $299 and agreed before work begins, because the work depends on the Client's current setup. EasyGeniusAI does not migrate or reproduce the Client's existing website; a new website is built.

4.8. Access Provided by the Client
The Client is responsible for providing timely and complete access to their domain registrar, DNS, current host, and any business email accounts involved, including valid credentials. Where required access is not provided, delivery timelines pause. EasyGeniusAI is not responsible for delays, downtime, or email or service interruptions caused by the Client's existing or third-party providers, by domain or DNS configuration outside our hosting, or by missing or incorrect access provided by the Client.

4.9. Client Content and Accuracy
The Client provides all content, text, images, logos, and business information used on the website, and confirms owning or holding the rights to use all materials provided. The Client is solely responsible for the accuracy, legality, and truthfulness of all content, claims, certifications, credentials, licences, and representations published on the website. EasyGeniusAI publishes the content and assets the Client provides, is not a verifying or validating authority, and does not independently verify the Client's business claims. Where the Client does not provide images, EasyGeniusAI may use appropriately licensed stock imagery.

5. Missed Call Text-Back

5.1. The Service
When a call to the Client's business phone number goes unanswered, the Service automatically sends a text message (SMS) to the caller on the Client's behalf so the Client can follow up. The Service is voice and SMS only. It does not include a website or a customer relationship management (CRM) system.

5.2. Fees and Term
The Service is CAD $49 per month, billed monthly in advance, month to month, with no minimum term.

5.3. Client Responsibility
The Client is responsible for the content of the automated reply message and for their use of the Service, including compliance with applicable messaging and anti-spam rules for their business communications. The Service replies to people who have contacted the Client's business by phone.

6. Fees, Billing, and Cancellation

6.1. Fees and Taxes
Fees for each plan are those published at easygeniusai.com and confirmed at sign-up or in the Service Agreement. All fees are in Canadian dollars. The amount shown at sign-up is the total amount charged: no sales tax is added. If this changes, EasyGeniusAI will notify the Client in advance in accordance with Section 11.2. Optional one-time services, such as migrating an existing domain and business email, are quoted separately and charged once.

6.2. Founding Offer
Under the current founding offer, the website build is provided at no cost (CAD $0) to a limited cohort of businesses. The offer may close at any time once the cohort is full. Reserving a founding spot is free and carries no obligation, and no charge is made until the Client confirms and the build begins.

6.3. When the First Payment Is Charged
For Website Plans, the first monthly payment is charged on the day the build begins. It is the first monthly subscription payment, not a setup fee. Each following month is charged automatically on the renewal date using the payment method on file.

6.4. Minimum Term
Website Plans carry a minimum initial term of three (3) monthly payments, so the system can be fully set up and running. This minimum applies even if the Client requests cancellation earlier, and the remaining months of the minimum term remain payable. Missed Call Text-Back has no minimum term.

6.5. Automatic Renewal
After the minimum term, plans continue on a month-to-month basis and renew automatically at the start of each monthly period until the Client cancels. The payment method on file is charged automatically on each renewal date.

6.6. Price Certainty
The monthly price of a Website Plan is fixed for the duration of the Client's minimum term. Any change to ongoing pricing after the minimum term is communicated by email at least thirty (30) days before it takes effect, and the Client may cancel before the change applies.

6.7. Failed or Late Payments
If an automatic charge fails, EasyGeniusAI may retry the payment and will contact the Client. EasyGeniusAI may suspend the Service, including the website and its hosting, until payment is received. Suspension does not release the Client from the minimum-term obligation and does not extend the term.

6.8. Cancellation
The Client may cancel at any time after the minimum term by written notice to contact@easygeniusai.com at least ten (10) days before the next renewal date. Cancellation takes effect at the end of the current billing month and stops future charges. Fees already paid are not refunded, including the first month once work has begun, and partial refunds are not provided for the current month.

6.9. Effect of Cancellation
On cancellation: (a) Client Data, including content, contacts, and leads, always belongs to the Client and may be exported before access ends, and EasyGeniusAI will provide a reasonable export on request; (b) services hosted by EasyGeniusAI, including website hosting, the AI assistant, and any email hosted by us, run on EasyGeniusAI infrastructure and stop when the subscription ends; (c) the domain follows Section 4.6.

7. Acceptable Use

7.1. Permitted Uses
The Client may use EasyGeniusAI services to operate a business website, automate legitimate business processes, capture and manage prospects and clients, send marketing communications with prior recipient consent, improve operational efficiency, and implement customer service assistants on their website.

7.2. Prohibited Uses
The Client may NOT use the services to: send unsolicited communications or violate Canada's Anti-Spam Legislation (CASL); collect or process personal data without adequate consent; conduct fraudulent, deceptive, or illegal activities; violate third-party intellectual property rights; access or attempt to access systems without authorization; or engage in any activity that violates federal, provincial, or municipal laws of Canada.

7.3. Right to Decline Content
EasyGeniusAI may decline to build, publish, host, or send, and may remove, any content or message that is unlawful, infringing, fraudulent, misleading, or otherwise objectionable, at its reasonable discretion.

7.4. Client Responsibility for Content
The Client is responsible for reviewing and approving all automated content, including email sequences, AI assistant responses, and notifications, prior to system activation. After activation, the Client assumes full responsibility for all content delivered through systems configured by EasyGeniusAI, including the use that their prospects and clients make of those systems.

8. Privacy and Data Protection

8.1. Applicable Privacy Law
EasyGeniusAI is a British Columbia organization and handles personal information in accordance with British Columbia's Personal Information Protection Act (PIPA), which is the governing privacy statute for its commercial activity in the Province. Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) applies only where a specific activity falls within federal jurisdiction, such as the collection, use, or disclosure of personal information across provincial or national borders. Both parties commit to complying with the privacy legislation applicable to them.

8.2. Client Data Ownership
The Client is the sole owner and controller of all personal data belonging to their contacts, prospects, and clients. EasyGeniusAI acts exclusively as a technical configurator and claims no rights over that information.

8.3. Technical Access
EasyGeniusAI maintains collaborator-level access to Client accounts for the sole purpose of providing contracted support services. This access is limited in scope, documented, and automatically revoked upon contract termination. The Client may revoke this access at any time.

8.4. Non-Disclosure of Data
EasyGeniusAI will not sell, transfer, or disclose to third parties any Client information or Client contact information, except when required by law or court order.

8.5. Security
EasyGeniusAI will implement reasonable security measures to protect access to Client systems during service delivery. However, the Client is solely responsible for the security of their own accounts, passwords, and access credentials.

9. Intellectual Property

9.1. What the Client Owns
The Client owns their content, business information, contact data, leads, marketing materials, brand assets, and any other intellectual assets they contribute, at all times. The Client also owns their domain in accordance with Section 4.6.

9.2. What EasyGeniusAI Owns
All automation workflows, technical configurations, process logic, page frameworks, reusable components, communication templates, methodologies, and developments created by EasyGeniusAI are and remain the exclusive property of EasyGeniusAI. The Client obtains a non-exclusive, non-transferable licence to use them for the duration of the contract. Upon termination, this licence automatically expires. Ownership of Client Data under Section 9.1 is not affected.

9.3. Prohibition on Copying and Replication
The Client may not copy, reproduce, document, or replicate EasyGeniusAI's automation workflows, AI assistant configurations, page frameworks, communication templates, or any other technical element developed by EasyGeniusAI, in whole or in part.

9.4. Prohibition on Commercialization
The Client may not resell, sublicense, transfer, or assign to third parties any element of EasyGeniusAI's intellectual property, during or after the term of the contract.

9.5. Prohibition on Reverse Engineering
The Client may not reverse engineer, decompile, or analyze the internal functioning of any system, workflow, or automation configured by EasyGeniusAI for the purpose of replicating it or developing similar solutions.

9.6. Prohibition on AI Training Use
The Client may not use the logic, structure, or content of EasyGeniusAI's systems to train, fine-tune, or feed AI models, whether their own or third-party.

9.7. Duration of Prohibitions
All prohibitions in Sections 9.3 to 9.6 remain in effect for three (3) years following the termination of the contract, regardless of the reason for termination.

9.8. Damages for Breach
In the event of a proven violation of any prohibition in Sections 9.3 to 9.6, EasyGeniusAI reserves the right to seek compensation for damages incurred. The parties agree that CAD $10,000 represents a reasonable pre-estimate of damages in such circumstances, without limiting EasyGeniusAI's right to seek higher damages if actual losses exceed this amount.

10. Limitation of Liability

10.1. Liability Cap
To the maximum extent permitted by law, EasyGeniusAI's total liability to the Client, for any cause and under any legal theory, shall not exceed the total amount paid by the Client to EasyGeniusAI during the three months preceding the event giving rise to the claim.

10.2. Exclusion of Indirect Damages
EasyGeniusAI shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, loss of clients, reputational damage, or loss of business opportunities, even if EasyGeniusAI has been advised of the possibility of such damages.

10.3. Force Majeure
EasyGeniusAI shall not be liable for delays or failures arising from causes beyond its reasonable control, including interruptions in third-party services, internet failures, natural disasters, pandemics, government acts, or any other force majeure event.

10.4. Third-Party Platforms
EasyGeniusAI assumes no liability for interruptions, failures, terms changes, price changes, data loss, or any other event related to third-party platforms used in service delivery.

10.5. Statutory Rights
Nothing in these Terms limits any right the Client has under applicable consumer protection legislation of British Columbia that cannot be limited by agreement.

11. Modifications and Term

11.1. Term
These Terms of Service take effect on the date indicated in the header and remain in force until updated or replaced by a later version.

11.2. Modifications
EasyGeniusAI reserves the right to modify these Terms at any time. Material changes will be communicated to active clients by email at least 15 days before taking effect, sent to the email address on file at the time of the change. It is the Client's responsibility to maintain an accurate contact email with EasyGeniusAI. Continued use of the services after that period constitutes acceptance of the modified terms. Pricing changes follow Section 6.6.

11.3. Dispute Resolution
The parties agree to first attempt resolution of any dispute through good-faith negotiation for a period of 30 days before initiating any legal proceedings.

11.4. Governing Law
These Terms are governed by the laws of the Province of British Columbia, Canada. Any dispute not resolved through negotiation shall be submitted to the exclusive jurisdiction of the courts of British Columbia.

11.5. Language
In the event of discrepancy between versions of these Terms in different languages, the English version shall prevail for legal purposes.

12. General Provisions

12.1. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.

12.2. Entire Agreement
These Terms, together with the signed Service Agreement, the Data Responsibility Matrix, and the plan details published at easygeniusai.com, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior negotiations, representations, warranties, or agreements, whether written or verbal.

12.3. Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce such provision in the future.

12.4. Assignment
The Client may not assign or transfer these Terms or any subscription to another party without the prior written consent of EasyGeniusAI, which will not be unreasonably withheld.
